Ingram Micro is seeking a corporate securities paralegal who is highly organized, detail-oriented, and able to manage simultaneous matters without losing accuracy.  The ideal candidate is a proactive self-starter who can operate independently, spot issues, and drive work to completion with minimal oversight. A consummate professional, the successful candidate has high judgment around confidentiality and sensitive corporate information, excellent written and verbal communication skills, and can work effectively with attorneys, executives, external counsel, and cross-functional partners.

Your role:

Corporate Secretarial Support

  • Maintain the Company’s governance policies, committee charters, corporate records, governance trackers, and related materials

  • Prepare Board and Committee presentation templates and support the preparation, review, finalization, and distribution of Board and Committee materials

  • Maintain calendars, trackers, and databases for Board and Committee meeting materials, approvals, action items, and related governance processes

  • Facilitate and manage onboarding processes for directors and officers, including Forms ID, questionnaires, certifications, and onboarding materials

  • Support the annual Board and Committee self-evaluation process

  • Prepare responses to internal and external audit requests, ensuring accurate production of documentation and coordination of supporting documentation

SEC Filing and Disclosure Support

  • Support the drafting and coordination of the Company’s SEC filings, including Forms 10-K, 10-Q, 8-K, DEF 14A, earnings materials, registration statements, and related disclosure documents

  • Own the preparation and filing of Section 16 reports, including Forms 3, 4, and 5, powers of attorney, beneficial ownership tracking, and related filing support

  • Assist with preparation and coordination of annual meeting materials, director and officer questionnaires, proxy-related materials, and related governance and disclosure processes

  • Maintain the Company’s and Section 16 filers’ EDGAR Next accounts and related credentials, permissions, records, and processes

  • Maintain compliance calendars, checklists, and internal procedures for periodic, annual, and event-driven reporting deadlines

  • Help maintain insider lists, training materials, FAQs, templates, and other resources related to securities compliance and public company obligations

  • Support equity, stockholder, and beneficial ownership-related processes, including internal tracking, recordkeeping, and coordination with relevant stakeholders

Governance Operations and Entity Management

  • Manage subsidiary governance of U.S. entities, and support subsidiary governance of non-U.S. entities, including formations, qualifications, withdrawals, dissolutions, conversions, annual reports, franchise tax filings, certificates of good standing, name changes, conversions, internal mergers, and DBAs.

  • Working collaboratively with local counsel for non-U.S. entities, manage and maintain the global entity compliance calendar, maintain the global subsidiary list and entity database, and ensure accuracy of directors/officers, signatories, and organizational charts.

  • Support board and shareholder governance matters, including organizing directors, officers and/or authorized signatories’ appointments and resignations, preparing board and shareholder meeting materials, drafting resolutions, written consents, secretary's certificates, and incumbency certificates.

  • Support Ingram Micro’s international entities with board and shareholder meetings, corporate maintenance, local filings, KYC requests, apostilles, legalizations, and cross-border documentation.

  • Respond to diligence requests in connection with financings, acquisitions, audits, commercial transactions, and regulatory inquiries.

  • Be able to assist with in-house notarizations (if licensed as a State of California Notary Public).

  • Own and continuously improve entity management tools, workflows, and internal knowledge resources; help build scalable processes.

  • Partner with cross-functional teams on matters including equity administration, tax, compliance, insurance, and trademark/IP record maintenance.

What you bring to the role:

  • Have 8+ years of relevant securities and corporate governance experience in a paralegal role in a global corporate legal department and/or law firm.

  • Experience supporting SEC filings, Section 16 filings, proxy statements, or public company governance

  • Have proven expertise in U.S. entity management and corporate administrative and compliance work; international entity management experience is preferred.

  • Have strong experience with entity structuring – incorporations, dissolutions, mergers, and restructurings – including related post-closing work.

Preferred Qualifications

  • Experience supporting international entity management, including formations, governance, and annual maintenance.

  • Experience supporting financings and secondary offering transactions.

  • Familiarity with entity management platforms and board portals.

  • Proficiency with EDGAR, EDGAR Next, Computershare, or Workiva software

  • Strong judgment and discretion when handling confidential, sensitive, and material nonpublic information

  • Excellent written and verbal communication skills

  • Proactive mindset with a focus on improving workflows, templates, and operating procedures

  • Interest in using technology and AI to improve efficiency, accuracy, and legal service delivery

  • Proven ability to operate independently with minimal day-to-day instruction, effectively prioritizing high-volume, deadline-driven workflows.

  • An ABA Paralegal certificate.

  • A valid State of California Notary Public License.

Role-specific policy: For this role, we expect all staff to be able to work from our Irvine, California office at least 3 days a week, with opportunity for 2 days a week remote.

The typical base pay range for this role across the U.S. is USD $85,800.00 - $137,300.00 per year.

The ranges above reflect the potential annual base pay across the U.S. for all roles; the applicable base pay range will depend on the candidate’s primary work location, pay grade, and variable compensation plan. Individual base pay within each range depends on various factors, in addition to primary work location, such as complexity and responsibility of role, job duties/requirements, and relevant experience and skills. Base pay ranges are reviewed and typically updated each year. Offers are made within the base pay range applicable at the time of hire. New hires starting base pay generally falls in the bottom half (between the minimum and midpoint) of a pay range.
