Job Responsibilities:

• Provide legal advice and support to clients in various banking and finance transactions, including project finance, debt capital markets, structured finance, Private Equity, Venture capital & M&A
• Draft and review transactional documents including, but not limited to, loan agreements, bond documents, security documents, share purchase agreements, and ancillary agreements
• Conduct due diligence investigations on companies, including review of corporate documents, and financial statements, and provide legal opinions to the clients
• Work closely with clients, financial institutions, and other stakeholders to ensure that transactions are completed in a timely and efficient manner
• Negotiate and advise clients on the terms of transactions and agreements
• Manage and supervise junior team members working on transactions and legal projects
• Advise clients on regulatory compliance and risk management related to the relevant areas of practice
• Represent clients in meetings and negotiations with counterparties, regulators, and other stakeholders
• Keeping up-to-date with the latest legal and regulatory developments in Banking & Finance, Project finance, and Debt capital markets
• Manage contacts and negotiations with the Bank’s clients and their legal counsel

Job Requirements: 

• Education: Graduate / Post Graduate in Law from a recognized university
• Minimum 3 years of post-qualification experience in Project Finance, Structured Finance, Debt capital markets, PE & VC, and M&A
• Structured debt financing including experience in debt capital markets, external commercial borrowings, and bilateral and syndicated borrowings
• Experience in leading law firms or international PE/Debt funds is preferred
• In-depth knowledge of relevant laws and regulations related to Banking & Finance, Project Finance, Debt Capital Markets, PE & VC, and M&A
• Strong drafting skills and experience in drafting transactional documents
• Excellent communication, interpersonal, and negotiation skills
• A proactive and solution-oriented approach to problem-solving
• Ability to work independently and as part of a team
